How we are Governed

In 2009, Australian Diabetes Council’s governance arrangements were reviewed.

The aim of the Governance Review was to examine existing governance arrangements to ensure that they work within the Australian Stock Exchange Corporate Governance Council’s Principles and Recommendations (where applicable).

The overriding objectives for initiating the review were:

• To ensure that the Board is aware that it is responsible for overseeing the not-for-profit organisation, including its control and accountability systems;
• To establish and disclose the respective roles and responsibilities of the board and management;
• To ensure that Board of Directors are aware of the practices necessary to maintain confidence in the not-for-profit organisation’s integrity, its legal obligations and the reasonable expectations of members;
• To ensure a structure is in place to independently verify and safeguard the integrity of financial reporting;
• To ensure that Australian Diabetes Council has ongoing, effective communication through its publications, its websites and representation in the media;
• To actively promote ethical and responsible decision-making;
• To ensure a policy has been adopted and management has designed systems to identify, monitor and mitigate risks.

Australian Diabetes Council’s new governance agreements have been designed to ensure that the company represents and engages efficiently, effectively and transparently with its broad range of members and other stakeholders.

The Board structure includes:

• A Board of 15 Directors-13 positions are filled as of April 2011;
• Three Subcommittees
  • Finance, Audit and Risk Management
  • Nomination and Remuneration
  • Executive Committee;
• An Executive Leadership Team of Nine- Chief Executive Officer; Manager- Office of CEO; General Manager-Corporate Services; Principal Health Strategy Executive; Head of Education and Prevention; Head of People and Culture; Head of Fundraising; Head of Members and Registrants; Head of Finance and Business Services.
• 75 Support Groups throughout NSW;
• Over 125,000 Members.
